Davis Polk advised Merrill Lynch, Pierce, Fenner and Smith Incorporated and The Bank of Tokyo-Mitsubishi UFJ, Ltd. as joint lead arrangers and joint bookrunning managers of senior unsecured credit facilities in an aggregate principal amount of USD1.5 billion for Patterson Companies, Inc. in connection with Patterson's agreement to acquire Animal Health International, Inc. for USD1.1 billion in cash. The facilities consist of a senior unsecured term loan facility in a principal amount of USD1 billion and a USD500 million senior unsecured revolving credit facility. The Bank of Tokyo-Mitsubishi UFJ, Ltd. will act as administrative agent for the facilities and Bank of America, N.A. will act as syndication agent.
